RESOLUTION TO RAISE FUNDS FOR
THE CONSTRUCTION OF AN ORCHESTRA PIT IN
THE BALDWIN HIGH SCHOOL AUDITORIUM

            Whereas, the School Board of the Baldwin-Whitehall School District (School Board) has approved the design and construction of extensive capital improvements to what is now known as the Baldwin High School Auditorium (BHS Auditorium); and
            Whereas, one purpose of the Baldwin Whitehall Friends of the Theater Arts (BWFTA) is to raise funds for the support of the theater arts program at Baldwin High School which is a school in the Baldwin-Whitehall School District; and
            Whereas, the BWFTA believes that musical productions in the Baldwin High School Auditorium would be vastly improved by the construction of an orchestra pit; and
            Whereas, the School Board has authorized the design of an orchestra pit as an alternate in the bidding specifications for the capital improvements to the BHS Auditorium, but has not made a commitment to fund the orchestra pit; and
            Whereas, the BWFTA made an offer to the School Board to raise up to $344,000.00 toward the cost of the orchestra pit, provided that the School Board name the renovated BHS Auditorium after Regis V. Shalley, a choral director for 28 years at Baldwin High School from 1953 to 1981; and
            Whereas, the School Board of the Baldwin-Whitehall School District has accepted the offer of the BWFTA to participate in the cost of the construction of an orchestra pit, stipulating that if the BWFTA raises at least $175,000.00, it will agree to name the newly renovated BHS Auditorium after said Regis V. Shalley; and
            Whereas, the Board of Directors of the BWFTA resolves to take certain action in furtherance of its goal of raising funds for the construction of an orchestra pit.

          Now therefore, the Board of Directors of the Baldwin-Whitehall Friends of the Theater Arts resolves to take the following action to raise funds for the construction of an orchestra pit in the BHS Auditorium:
            1.  The Treasurer of the BWFTA will establish a separate account into which the funds raised toward the construction of an orchestra pit will be deposited.
            2.  The BWFTA will deposit the sum of $10,000.00 into said account.
            3.  The BWFTA will pledge to raise an additional $10,000.00 from its own fundraising activities for deposit into said account.
            4.  Each of the eleven members of the Board of BWFTA will pledge the sum of $250.00 to be deposited into said account.
            5.  The BWFTA will raise the remaining funds from the contributing members of the BWFTA, the general public, the business community, foundations, philanthropic funding agencies and individuals, and the teachers and alumni of Baldwin High School, in accordance with a separate plan or plans developed to reach these audiences.
            Adopted this 3rd day of August, 2009 by the Board of Directors as evidenced by their signatures below.
